1. Introduction

Welcome to Arvae AI. These Terms of Service (“Terms”) govern your access to and use of the Arvae AI platform, website, APIs, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Arvae AI is owned and operated by Arvae, Inc., a company with operations in both the United Arab Emirates and the United States of America.

Arvae AI Content: All intellectual property rights in the Services, including software, features, designs, algorithms, and documentation, are owned by Arvae AI. Nothing in these Terms transfers any Arvae AI intellectual property rights to you.

Generated Content: The ownership and use rights of content generated by our AI services will be as specified in your subscription plan or specific agreement with us. Unless otherwise stated, you are granted rights to use AI-generated content for your intended purpose, subject to these Terms.

7. Privacy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your personal information. By using our Services, you consent to the data practices described in our Privacy Policy.

8. Service Availability and Modifications

We strive to ensure that our Services are available 24/7, but we do not guarantee uninterrupted access. We reserve the right to:

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Arvae AI does not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARVAE AI BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES.

If any provision of this limitation of liability is found to be unenforceable, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Arvae AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of:

  • The United Arab Emirates for users accessing our Services from the Middle East and Africa regions
  • The United States of America for users accessing our Services from the Americas and other regions

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Dubai, UAE or Delaware, USA, as applicable based on the governing law, and you hereby consent to the personal jurisdiction and venue therein.

14. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision, in our sole discretion, is material, we will notify you via email or through the Services. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
